MOU & Letter of Intent

1. Purpose & Scope

The purpose of this MOU is to establish a framework for the Institution to deploy the Great Indian Campus digital infrastructure. This partnership aims to provide a technological backbone that blends traditional teaching with modern AI-driven engagement and sovereign digital identity.

2. Core Infrastructure Deliverables (The Trinity)

iViRTH shall provide the Institution with the following "Trinity" core components:

• Helix Identity: A sovereign digital identity ensuring institutional branding, data ownership, and a white-labeled experience across web and mobile.
• ion AI (miniON AI): A high-performance generative AI chatbot tailored to the institutional curriculum to handle student queries 24/7.
• VISE Matrix: An advanced analytical engine built to "Measure the Growth," monitoring student progress, educator effectiveness, and revenue trends.

3. Modules & Technical Specifications

The Institution shall have access to the following integrated modules:

• Academic Suite: Interactive Live Classes, modular Course Bundles, and secure Digital Publications.
• Operational Tools: Unified Dashboard for Admins, 1-on-1 Consultation Booking, and Event Management for webinars/seminars.
• E-Commerce & Sales: Integrated Product Store for physical kits/merchandise and a built-in Affiliate System for student-led growth.
• Gamification Engine: Real-time Performance Leaderboards and a Tokenised Reward System for attendance and course completion.

4. Financial Terms & Licensing

• ion AI Setup: Paid separately based on institutional curriculum requirements.
• Platform Commission: A 12% commission applies to all commercial transactions processed within the ecosystem.
• Initial Activation Add-on: Helix and VISE activation at ₹199/month, paid separately.
• Staff Training: One-time ₹799 for Platform Enablement Training for one designated staff member.

5. Data Sovereignty & Security

• Data Silos: Every Helix Identity operates within an encrypted, isolated data silo ensuring total privacy.
• Sovereignty: The Institution maintains total ownership of its data, branding, and student records.
• Architecture: Scalable, cloud-native backend designed for high-concurrency educational environments.

6. Obligations of the Institution

1. Provide Curriculum Data: Supply the necessary academic content to train the ion AI model.
2. Appoint a Platform Lead: Designate one staff member to undergo the training module for dashboard management.
3. Branding Assets: Provide logos and brand guidelines for white-labeled setup.

7. Termination

Either party may terminate this MOU with [Number] days' written notice. Upon termination, the Institution retains ownership of its specific academic data, while access to the iViRTH technical infrastructure will be revoked.

4. Data & Technical Standards

We understand that every Helix Identity operates within an encrypted, isolated data silo, ensuring our institutional data sovereignty and student privacy. We agree to provide the necessary curriculum data and brand assets to facilitate this setup.

5. Next Steps

Upon acceptance of this LOI, we move to execute the formal Memorandum of Understanding (MOU) and initiate the Phase 1 Activation within the next 14 business days.
